1. Legal Incorporation and Corporate Identity
AVFIVE CAREER AMBITIOUS PRIVATE LIMITED (“the Company”) is a duly incorporated private limited company under the Companies Act, 2013, having its registered office in New Delhi, India. The Company is legally authorized to operate and provide a diverse range of educational, training, consultancy, and digital learning services across both online and offline platforms.
2. Brand Portfolio and Digital Infrastructure
The Company operates through several wholly owned brands and digital platforms, each of which is legally and operationally integrated under the Company’s governance structure:
Career Ambitious – The principal brand offering academic and career-oriented educational services.
Career Ambitious – TopTutor – A mentorship and faculty engagement platform.
avinashprakash.in – A personal mentorship and career training portal operated under the direct control of the Company.
The following digital domains and subdomains are exclusive intellectual and digital property of the Company:

Legal Clarification: These domains and platforms do not constitute separate legal entities. All operations, liabilities, and governance are exclusively managed by AVFIVE CAREER AMBITIOUS PRIVATE LIMITED.
3. Centralized Policy Governance and Legal Oversight
The Company adheres to a centralized legal and policy governance structure, which uniformly applies across all brands and platforms. The following core policies are defined, maintained, and enforced solely by the Company:

Service Level Agreements (SLAs)
Any brand-specific policy is subordinate to the Company’s master policy and must comply with the overarching legal standards set by the Company.
User Responsibility: All users are required to review and accept both the brand-level and Company-level policies prior to using any services. Use of the services implies a legally binding agreement with the Company.
4. User Responsibilities and Pre-Engagement Compliance
Each user, client, or student engaging with any service or platform must:
Fully read, understand, and agree to all policies, disclaimers, and legal terms.
Acknowledge that all payments, services, and interactions are conducted under the legal identity of the Parent Company.
Verify service details, including scope, delivery timelines, refund policy, and contractual obligations before making any payment.
Legal Disclaimer: Users are not exempt from compliance due to lack of awareness. Ignorance of policies does not constitute a valid legal defense.
5. Intellectual Property Rights and Content Ownership
All digital content and intellectual assets available on any of the Company’s platforms, including but not limited to:
Course material (text, video, graphics)
Logos, service marks, and trade names
Website code, tools, and downloadable resources
Platform interfaces and infrastructure
are solely owned by AVFIVE CAREER AMBITIOUS PRIVATE LIMITED and are protected under Indian intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.
Trademark Usage: The Company’s proprietary logos and names may carry the “TM” designation, indicating exclusive ownership regardless of registration status.
Prohibited Use: Unauthorized reproduction, resale, distribution, or modification of any content is strictly prohibited and may result in civil and/or criminal legal action.
6. Financial Transactions and Payment Governance
All payments for services or products under any Company-operated brand:
Are processed solely in the name of AVFIVE CAREER AMBITIOUS PRIVATE LIMITED.
Are accompanied by valid invoices and payment acknowledgments issued by the Company.
Are conducted via secure and encrypted payment gateways, compliant with relevant Indian and international financial security standards.
Non-transferability Clause: Payments are non-transferable between brands. Refunds and cancellations are governed strictly by the Parent Company’s policy.
Third-party Disclaimer: The Company bears no responsibility for payments made via unauthorized agents, platforms, or intermediaries.
LEGAL DISPUTE RESOLUTION, POLICY AMENDMENTS, AND FINAL ACKNOWLEDGMENT
7. Legal Jurisdiction and Dispute Resolution
All disputes, claims, or legal concerns arising from any service, transaction, or platform use shall be governed by the laws of India. Exclusive jurisdiction is granted to the competent courts located in New Delhi.
Users waive the right to file claims in any court outside New Delhi.
This jurisdiction clause applies universally, regardless of the user’s location or mode of access.
Binding Clause: All users agree that disputes shall be resolved within the Indian legal framework and no foreign jurisdiction shall be applicable.
8. Policy Amendments and Change Notifications
The Company may amend, revise, or update policies without prior notice. Updates are posted on official platforms and become effective immediately.
User Duty: Users must regularly check for updates.
Implied Consent: Continued use constitutes acceptance of updated terms.
Notice Clause: The Company is not obligated to provide personal notice to each user about changes. Public posting suffices for legal validity.
9. Final Acknowledgment and Legal Acceptance
By accessing any service under the Company’s brands, the user:
Acknowledges the corporate structure and legal authority of the Parent Company.
Agrees to be bound by centralized and brand-specific policies.
Confirms acceptance of the Terms of Use, Privacy Policy, Refund Policy, and all related declarations.
Accepts that ignorance or misunderstanding of policies cannot be grounds for legal challenge.
Binding Agreement: Use of any platform constitutes a legally enforceable contract.
10. Copyright and Trademark Statement
All content and branding are protected by Copyright Act, 1957 and Trade Marks Act, 1999:
Unauthorized use of content or trademarks is subject to legal action.
